1. Acceptance of Terms

By accessing or using the AKSH Earnings Intelligence platform, API, or any related services (collectively, the "Service"), you ("Client") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

AKSH Earnings Intelligence is a data processing and delivery platform that:

• Extracts financial data from publicly available BSE and NSE corporate filings
• Structures, scores, and normalizes the extracted data using artificial intelligence
• Delivers processed data via API endpoints, dashboards, and notification systems

The Service processes publicly available information and adds value through structuring, scoring, and speed of delivery.

3. Eligibility and Registration

3.1 B2B API Access

API access is available exclusively to entities registered with the Securities and Exchange Board of India (SEBI) under applicable categories including Research Analysts (RA), Investment Advisers (IA), Portfolio Managers (PM), Alternative Investment Funds (AIF), and Stock Brokers.

3.2 SEBI Registration Verification

At the time of onboarding, Client's SEBI registration number is verified against publicly available SEBI records. Client represents and warrants that:

• The SEBI registration number provided belongs to Client's organization
• The registration is valid, current, and not suspended or cancelled
• Client will notify Treum Algotech within 7 days if their SEBI registration status changes

3.3 Account Security

Client is responsible for maintaining the confidentiality of their API key. Client must:

• Not share API keys with unauthorized third parties
• Not embed API keys in client-side code, public repositories, or unsecured locations
• Immediately notify Treum Algotech if a key is compromised

4. Permitted Use

Client may use the Service for:

• Internal financial research and analysis
• Integration into Client's proprietary trading or research systems
• Providing processed insights to Client's own registered clients (where Client holds appropriate SEBI registration)

5. Prohibited Use

Client may NOT:

• Redistribute raw AKSH data to third parties as a standalone data product
• Use the Service to provide investment advice to retail investors without appropriate SEBI registration
• Attempt to reverse-engineer, scrape, or replicate the data extraction pipeline
• Exceed rate limits or use automated tools to circumvent usage restrictions
• Use the Service for any unlawful purpose or in violation of SEBI regulations
• Resell or sublicense API access without written consent from Treum Algotech

6. Data Accuracy and Disclaimers

6.1 No Guarantee of Accuracy

AKSH processes data from publicly available BSE and NSE filings using artificial intelligence. While we strive for accuracy, the Service does not guarantee that extracted data is complete, accurate, or error-free. AI-based extraction may occasionally produce errors, omissions, or misinterpretations.

6.2 Not Investment Advice

The Service does not constitute investment advice, financial advice, trading signals, or recommendations. Scores, signals, and processed data are for informational purposes only. Client must perform their own due diligence before making any investment or trading decisions.

6.3 No Warranty

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

7.1 No Liability for Trading Decisions

Treum Algotech shall not be liable for any trading decisions, investment losses, financial losses, or regulatory actions arising from the use of AKSH data. Client acknowledges that all trading and investment decisions are made at Client's own risk.

7.2 Cap on Liability

In no event shall Treum Algotech's total aggregate liability exceed the amount paid by Client for the Service in the 12 months preceding the claim.

7.3 Exclusion of Consequential Damages

Treum Algotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. API Key and Access

8.1 Key Issuance

API keys are issued upon successful SEBI verification and acceptance of these Terms. Keys are generated uniquely for each Client and are non-transferable.

8.2 Key Revocation

Treum Algotech reserves the right to revoke or suspend API keys at any time for:

• Violation of these Terms
• Fraudulent SEBI registration information
• Exceeding rate limits or abusive usage patterns
• Non-payment of subscription fees
• Any reason at Treum Algotech's sole discretion with reasonable notice

8.3 Rate Limits

API access is subject to rate limits based on Client's subscription tier. Exceeding rate limits may result in temporary throttling or suspension.

9. Fees and Payment

9.1 Subscription Model

API access is offered on an annual subscription basis. Pricing varies by tier and is as published on the B2B pricing page or as agreed in a separate commercial agreement.

9.2 Payment Terms

Payment terms are net 30 days from invoice date unless otherwise agreed in writing.

9.3 Refunds

Subscription fees are non-refundable except where required by applicable law.

10. Intellectual Property

10.1 Treum Algotech's IP

The Service, including its algorithms, scoring methodologies, extraction pipeline, user interface, and documentation, is the intellectual property of Treum Algotech. Client receives a limited, non-exclusive, non-transferable license to use the Service during the subscription period.

10.2 Client's Data

Client retains ownership of any proprietary data they provide to the Service (e.g., watchlist configurations).

10.3 Source Data

AKSH processes data from publicly available BSE and NSE filings. Treum Algotech does not claim ownership of the underlying source data.

11. Privacy and Data Protection

Treum Algotech collects and processes Client information (company name, email, SEBI registration) for the purpose of providing the Service and complying with regulatory requirements. Treum Algotech will not sell or share Client information with third parties except as required by law.

12. Modifications to Terms

Treum Algotech may modify these Terms at any time. Material changes will be communicated via email to the registered email address at least 30 days prior to taking effect. Continued use of the Service after such notice constitutes acceptance of the modified Terms.

13. Termination

13.1 By Client

Client may terminate their subscription at any time by contacting srijan@treumalgotech.in. API access will be revoked upon termination.

13.2 By Treum Algotech

Treum Algotech may terminate Client's access for violation of these Terms, with or without notice depending on the severity of the violation.

13.3 Effect of Termination

Upon termination, Client's API keys will be deactivated and all access will cease. Provisions that by their nature should survive termination (including Sections 6, 7, and 10) shall survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
